VMware is seeking an Associate, Corporate Development to join its Strategy and Corporate Development (SCD) team at its global headquarters in Palo Alto, CA. The position offers the opportunity to join a team addressing key strategic areas of growth for VMware via inorganic business development. The team provides an excellent platform for strategy and corporate investment professionals to play a prominent role in shaping the future of one of the most exciting companies in the software technology landscape. The SCD team is a small, core group of professionals who help plan and develop strategic plans of record, address key cross-business unit strategic questions, and analyze and execute on acquisitions, equity investments, and joint ventures to help the company realize its growth goals. As a key member of this team, the Associate will report to a Director of SCD and support the team in research and analysis.
Job Responsibilities:
- Assist in building pipeline for acquisitions and investments working with team members within SCD as well as business units
- Research multiple sources for company, industry, and market information
Analyze and synthesize results - Strategic fit, business opportunity analysis, and competitive landscape assessment
- Create business models and develop pro-forma financial models for acquisitions
- Analyze company financial statements, investment profiles and cap tables
- Assist in valuation analysis using comparables and discounted cash flow techniques
- Support M&A managers and directors through all transaction gates and approval processes from idea generation and inception to execution and closure
- Assist in leading comprehensive business and financial due diligence on potential M&A targets; coordinate extensively with various internal business and functional groups
- Provide support in negotiations, creation of term sheets and definitive agreements. Work with legal teams in creating transaction documents
- Develop and carry out plans to maintain consistent approach and stay within budgetary guidelines for each project / deal
Desired Qualifications and Experience:
- The candidate must be an outstanding individual and team performer in his or her current role with a strong record of achievement as an analyst in an active M&A group
- Must have analyst experience at corporate development in technology companies, or at top tier investment banks, private equity funds, or venture capital
- Possesses product/technology/industry knowledge
- Must have experience in analytically supporting a sizable number of acquisition transactions
- Excellent spreadsheet and presentation skills required
- Strong written and verbal communications skills critical
- The ideal candidate will have ~2 years of experience as an M&A or technology analyst
- Undergraduate, four year degree
