What you’ll be doing:

We are seeking a Capital Solutions Associate to join the team, reporting directly to COO and Managing Director, Rob Morelli, who leads Overlap’s Capital Solutions business. You’ll be the day-to-day engine behind our advisory and placement practice, helping technology companies connect with the right capital partners to scale their businesses. You’ll also get hands-on experience working alongside the COO on the operations and scaling of a rapidly-growing organization. Responsibilities will include:

Managing the end-to-end deal process for debt and equity advisory engagements: drafting deal summaries & teaser emails, coordinating & attending lender-company meetings, tracking lender outreach and feedback, providing clients with ongoing updates, cataloging term sheets, and driving transactions from mandate through close
Joining client calls with founders and CFOs to understand their capital needs, effectively communicate our value add, and present possible financing options
Maintaining and expanding our relationship management database, including updating lender investment parameters and recent deal activity
Building and maintaining project trackers across active engagements to ensure nothing falls through the cracks
Coordinating and collaborating with members of Overlap’s Venture Investing and Government Solutions business units, identifying cross-referral opportunities and supporting our venture Portcos with their lending needs
Assisting the COO with day-to-day fund operations

What skills & experience you’ll bring to us:

We are seeking someone with 2–5 years of experience in investment banking, capital markets, leveraged finance, credit, or debt advisory:

Must have hands-on transaction experience in a deal-oriented environment—you’ve worked on live financings
Strong process management skills: you’re organized, detail-oriented, and comfortable keeping multiple workstreams moving simultaneously
Confident communicator who can hold their own on calls with founders, CFOs, and senior lender contacts
Strong written communication skills—you can draft a clean, concise email that gets right to the facts
Familiarity with debt products (venture debt, term loans, revolving credit facilities, equipment finance, asset-based lending) is strongly preferred; you don’t need to be an expert in all of them, but you should understand how they work
Familiarity with or enthusiasm for Frontier Tech sectors (Energy, Robotics, Space, Life Sciences, etc.) a plus
Equity capital markets experience is a plus, but not required
Experience with Notion and Claude is a plus
No side hustles that would pose a conflict of interest; will be expected to agree to IP/Confidentiality protections
Must hold a Series 7 and 63 license in good standing

The specifics:

Compensation: Competitive base salary (expected base range is $120k–$130k) plus bonus and profit share (plus carry in future funds after first year)
Location: Fully remote. Overlap is a remote-first company. NYC or Bay Area a plus
