VC Director @ CMFG Ventures in Madison, WI

Assist in all aspects of the deal process, from deal sourcing to closing, for a broad range of transactions including acquisitions, divestitures, venture capital investments and other strategic transactions. Identify and source compelling investment opportunities independently and in partnership with managing director to maintain a strong pipeline of quality deal opportunities. Assist in managing all aspects of the venture capital investment program of CMFG Ventures, LLC. Provide expertise and advice on structuring commercial opportunities with potential portfolio companies and other strategic partners.

Job Responsibilities

Advisory Responsibilities

  • Serve as key resource to managing director and executive management on financial, deal and contract matters central to the investment, acquisition and divestiture process
  • Provide insights and recommendations on deal opportunities to the head of Corporate Development, executive leadership, and core business stakeholders
  • Establish, develop and manage relationships with portfolio companies, VC firms, external advisors and other company-specific stakeholders through all phases of the deal 

Sourcing Responsibilities

  • Identify and source potential deal opportunities from internal and external networks, PE/VC partners, and investment bank s to drive deal flow
  • Attend conferences / workshops to gather competitive intelligence, and identify market trends, partnership opportunities, and compelling investment opportunities
  • Develop and execute transaction structures that maximize potential economic outcomes while minimizing risks 

Assessment Phase Responsibilities

  • Assess business and financial models of target companies, market dynamics, deal economics and financial potential of investments
  • Work alongside internal business executives and external advisors to assess acquisition, investment and commercial transaction opportunities
  • Understand opportunity / build case for opportunity with key business stakeholders and Corporate Development team and assist in the delivery of the business case 

Transaction Phase Responsibilities

  • Develop and negotiate deal terms with target companies, VC sponsor or other relevant stakeholders
  • Manage external advisors to ensure transaction objectives and timelines are met
  • Manage all aspects of due diligence covering business, financial, tax, legal, operating, etc.
  • Work with Corporate Development team to develop final business case with a specific emphasis on transaction and financial related matters
  • Act as a resource on post – close matters related to the transaction 

Performance Management Responsibilities

  • Develop opportunities for portfolio companies to maximize the economic value of their businesses
  • Help to actively manage portfolio of early-stage companies
  • Assist in any subsequent capital raise activities for portfolio companies 

Job Requirements

Hiring Requirements

  • Bachelor’s degree
  • Minimum of 8-10 years of professional finance work experience with at least 3-5 years direct M&A transaction experience in investment banking, corporate development and/or venture capital
  • Increasing levels of responsibility throughout career with experience managing complex transactions from inception to close
  • Direct experience assisting with deal and contract negotiations, as well as resolving complex business issues and structuring complex contracts and serving as the principal liaison to senior business executives
  • Demonstrated ability to work independently
  • Strong communicator, able to negotiate and clearly articulate goals and objectives 

Hiring Preferences

  • Degree in Finance, Accounting or Business Administration strongly preferred.
  • Master’s degree or MBA preferred
  • Financial services experience preferred
  • Experience on the buy-side of transactions in either a corporate development or venture capital role
  • Exceptional financial and analytical skills with command of valuation methodologies
  • Command of transaction structuring
  • Comfortable networking both internally and externally with key stakeholders, including investment bankers, venture capitalists and executive teams of companies
  • Ability to make data driven decisions under strict time deadlines
  • Excellent interpersonal skills
  • Strong team leadership and motivation skills
