Corporate Development Director @ Enterprise Holdings in St. Louis, MO

The Corporate Development Director is a senior member of the Corporate Development Team, which is responsible for merger and acquisition transactions (acquisitions, divestitures, and joint ventures), corporate venture capital investments (minority investments through Enterprise Holdings Ventures) and partnerships/licenses. The Director will identify and source potential targets consistent with Enterprise Holdings and its Affiliates’ strategic direction, as well as manage the analysis, diligence, valuation and negotiation of these targets including production, presentation and defense of recommendation materials to senior management. The Director will lead the negotiation and timeline process with the owners, advisors, and counsel of the target companies. The Director will lead the due diligence process, including: tracking receipt of information, organizing and managing the internal/external diligence team(s), analyzing all diligence issues, synthesizing findings in a due diligence report, and arranging for diligence meetings and site visits. The Director will work with Legal, HR, IT, Risk, Fleet, and the Operators to identify due diligence issues/concerns and the analysis of the potential economic, HR, IT, Risk, and Operational impacts on a potential transaction. The Director will support the acquiring business unit in identifying and quantifying synergy and strategic opportunities. The Director will manage the development of detailed integration plans. In addition, the Director will support Senior Management and operators of our various business units by providing research and gathering information and insight from our interaction with emerging technology companies/VCs/Corporate VCs in our corporate venture capital activities.

Responsibilities

  • Interface and work across the company departments to ensure a valid analysis of short and long range plans from a business development and acquisition perspective; regularly collaborating with the senior management and other management teams with the operations, finance, administration, legal and human resources departments
  • Interface with external CXOs, advisors, lawyers, corporate venture capitalists, venture capitalists, and investment bankers of potential corporate M&A targets and emerging technology corporate venture capital targets
  • Develop relationships with internal customers, anticipating their needs, providing solutions when needed, and consistently meeting or exceeding their expectations to help expedite analysis and completion of transactions
  • Develop and lead acquisition and growth activities, including investigations, evaluations, negotiations, diligence, and integration in accordance with corporate objectives and plans
  • Oversee the research, identification, analysis and prioritization of potential acquisition targets using available resources
  • Develop, establish, and implement the evaluation criteria for new opportunities. Ensure the financial analysis/modeling is conducted and transactions are evaluated consistently within the overall context of shareholder value and business objectives

Minimum

Qualifications:

  • Bachelor’s Degree in Finance, Accounting, Business or Economics Required
  • Master’s Degree in Finance, Business Administration or Accounting Preferred
  • Five or more years Experience in buy-side mergers and acquisition engagements as part of Corporate Development or Private Equity role. Investment banking experience may be part of the 5 years Required
  • Three or more years Venture Capital or Private Equity experience, including deal flow generation, deal analysis, deal presentation to investment committee, board member representation, strategic analysis, strategic input and support of portfolio companies, operational support and recommendations of portfolio companies, deal negotiation, legal negotiation, liquidation of investment, written and verbal communication with General Partners Preferred
  • Five or more years Experience conducting due diligence in multiple disciplines and producing and presenting analysis, valuation, and recommendation materials Required
  • Five or more years Demonstrated practical application of financial accounting and corporate finance with particular expertise in those issues associated with corporate and venture capital transactions Required
  • Five or more years Experience in domestic and international transactions ranging from $10 million to $1 billion Enterprise Value, with proven experience with multiple transaction types including, private and public companies, asset and stock transactions, divestitures and spin-offs, tender offers, etc. Required
  • Five or more years Experience working on deal teams on identifying issues Required
  • Five or more years Expertise in the analysis of financial statements from a credit and investment perspective Required
  • Five or more years Experience integrating businesses across all functions (Operations, HR, IT, Risk, etc.) Required
  • Must have a current and valid driver’s license
  • Must be authorized to work in the United States and not require work authorization sponsorship by our company for this position now or in the future
  • Must be willing to travel (domestic and international) up to 33%
